Terms of Service

These Terms of Service ("Terms") govern your use of Contextify, including the macOS application, Linux CLI tool, the optional Contextify Cloud service we operate at cloud.contextify.sh, and the Personal Self-Hosted deployment of the Contextify Cloud software run by an operator on their own server (collectively, the "Service"). By using the Service, you agree to these Terms.

1. Description of Service and Three Sets of Obligations

Contextify is a developer productivity tool that monitors AI coding sessions (such as Claude Code and Codex CLI) and maintains a searchable history of conversations. These Terms cover three distinct sets of obligations corresponding to three deployment shapes:

  • App license (all users): We license you the macOS application and Linux CLI tool under the terms in §8 (Intellectual Property). The application runs on your device and stores data locally; it operates without any network connection by default. The app license applies regardless of which deployment shape you use.
  • Contextify Cloud service obligations (Cloud Free, Cloud Pro, Team): When you create a Contextify Cloud account at cloud.contextify.sh and use our cloud service, we run the deployment, retain your synced data subject to the retention policy in our Privacy Policy, and provide service availability on a best-effort basis. Cloud sync is user-initiated and requires an account. Cloud Free is available at no cost; Cloud Pro and Team require a paid subscription.
  • Personal Self-Hosted (you run the cloud software on your own server): You may run the Contextify Cloud software on your own infrastructure (for example, a Mac Mini or Linux box on a home network or private tailnet). In this shape: no Contextify-operated server receives your transcript data; we do not operate your deployment; we do not provide an SLA, uptime guarantee, or retention policy for your server; we are not a service provider for that deployment; and we are not a data processor for traffic between your devices and your server. You are the operator. If you extend the deployment beyond yourself to other users, your own terms govern that relationship; we are not a party to it.

The local application is fully functional without Contextify Cloud or Personal Self-Hosted. Cloud features are entirely optional.

2. Plans and Pricing

Contextify is available in Free and paid tiers. Current pricing is listed on the pricing page. Prices are listed in USD. We reserve the right to change pricing with 30 days written notice to existing subscribers.

3. Account Registration

To use Contextify Cloud (the cloud service we operate at cloud.contextify.sh), you must create an account and provide a valid email address. You are responsible for maintaining the security of your account credentials and API keys. You must promptly notify us if you believe your account has been compromised.

You must be at least 18 years old to create an account.

Personal Self-Hosted users create an account on their own server (run by themselves as operator). That account is not a Contextify-operated account, and these Terms's account-registration provisions do not apply to it; instead, the operator's own policies govern.

4. Subscription Billing

This section applies only to paid Contextify Cloud plans (Cloud Pro and Team). Cloud Free does not require payment. Personal Self-Hosted does not create a Contextify billing relationship unless you separately purchase a paid Contextify plan or enter into a separate agreement.

  • Paid Contextify Cloud subscriptions are billed via Stripe.
  • Billing begins when you subscribe and renews automatically each month on the same date (or annually if you select annual billing).
  • You authorize us to charge your payment method on file for recurring subscription fees.
  • Failed payments may result in suspension of paid cloud features. Your local data and any Personal Self-Hosted deployment you operate are never affected.

5. Cancellation and Refunds

This section applies only to paid Contextify Cloud subscriptions. It does not apply to Local-only use or to a Personal Self-Hosted deployment unless you separately purchase a paid Contextify Cloud plan or enter into a separate agreement with us.

  • You may cancel your Contextify Cloud subscription at any time through your account settings.
  • Upon cancellation, your Hosted Cloud features remain active until the end of the current billing period.
  • We do not issue refunds for partial months.
  • If we change pricing or Terms in a way you disagree with, you may cancel before the next billing cycle with no further charges.
  • After cancellation, your Hosted Cloud data is retained for a reasonable period to allow you to resubscribe or export your data. See our Privacy Policy for details on data retention.

6. Acceptable Use

Contextify is designed for developer productivity. You agree not to:

  • Use Contextify Cloud (our cloud service at cloud.contextify.sh) to store data unrelated to AI coding sessions
  • Attempt to circumvent usage limits or storage quotas on Contextify Cloud
  • Use the Service to violate any applicable laws or regulations
  • Interfere with or disrupt Contextify Cloud or its infrastructure
  • Share Contextify Cloud account credentials with unauthorized users
  • Reverse engineer, decompile, or disassemble the application
  • Distribute, sublicense, or rent the application to third parties. Your right to run the Contextify Cloud software in a Personal Self-Hosted deployment is governed by the license terms for the Contextify software (§8); these Terms do not grant a redistribution right.
  • Use automated systems to abuse Contextify Cloud API endpoints

Restrictions that specifically reference Contextify Cloud, our cloud service, our hosted infrastructure, hosted quotas, or Contextify Cloud account credentials apply only to Contextify-operated Hosted Cloud, not to a Personal Self-Hosted server you operate. Other restrictions in this section — including restrictions on unlawful use, reverse engineering, and unauthorized distribution of the licensed software — continue to apply to your use of Contextify software in any deployment shape.

7. Data Ownership

You own your data.

  • Your AI conversation transcripts, summaries, and metadata belong to you.
  • We do not claim any intellectual property rights over your content.
  • For data we receive: we do not use your data to train AI models or for any purpose beyond providing the Service to you. (For Personal Self-Hosted, Contextify does not receive your synced conversation data; this commitment is operationally mode-scoped.)
  • For Contextify Cloud (Hosted), you may export your account data at any time through the application or API. For Personal Self-Hosted, export is performed by the operator using the documented Personal Self-Hosted backup procedures.

For Contextify Cloud (Hosted), Contextify acts as a data processor for your synced conversation data, not a data owner.

For Personal Self-Hosted, no Contextify-operated server receives your transcript data; synced data goes to the server URL you configure and operate. Contextify provides the cloud software under license; the operator runs the deployment, controls the data, and acts as the controller and/or processor for any data their users generate. We are not a processor for traffic between operator-run servers and the macOS app or Linux CLI; the operator's own agreements with their users govern that relationship. Contextify is the software vendor in this shape, not a service provider.

8. Intellectual Property

The Contextify application, website, branding, the Contextify Cloud server software, and associated documentation are owned by Contextify and protected by copyright and trademark law. These Terms grant you the following licenses:

  • Application license (macOS app and Linux CLI): a limited, non-exclusive, non-transferable license to install and use the Contextify application for its intended purpose.
  • Contextify Cloud (Hosted) license: a limited, non-exclusive, non-transferable, non-sublicensable license to use the Contextify Cloud service we operate, subject to your applicable plan and these Terms.
  • Personal Self-Hosted license: the Personal Self-Hosted distribution of the Contextify Cloud server software is licensed to you under the Functional Source License, Version 1.1, Apache 2.0 Future License (FSL-1.1-Apache-2.0). See §8.4 below for the FSL-specific Permitted Purpose, Competing Use, and Apache 2.0 conversion terms.

8.4 Personal Self-Hosted license. The Personal Self-Hosted distribution of the Contextify Cloud server software is published under the Functional Source License, Version 1.1, Apache 2.0 Future License (FSL-1.1-Apache-2.0). The license text is LICENSE.md included with each release of the contextify-cloud-self-hosted repository; each release's two-year conversion clock starts on the date that release was made available. During the FSL period, you may use, copy, modify, and redistribute the software for any Permitted Purpose under the license, including internal use within your organization, evaluation, and professional services connected to your compliant use. The license prohibits Competing Use: making the software available to others as part of a competing commercial product or service. On the second anniversary of each release, that release becomes available under the Apache License 2.0. For uses not permitted by FSL, contact us about a commercial arrangement.

9. Third-Party Content

The Service processes transcripts from Claude Code (Anthropic) and Codex CLI (OpenAI). Your use of those tools is governed by their respective terms of service. We are not affiliated with Anthropic or OpenAI.

10. Service Availability

  • Local application: Fully offline. No availability dependencies.
  • Cloud Free, Cloud Pro, and Team plans: Cloud features are provided on a best-effort basis. We aim for high availability but do not guarantee a specific uptime percentage. We will notify users of planned maintenance when possible.
  • Personal Self-Hosted: We do not operate the deployment. We do not provide an SLA, uptime commitment, status page, or managed-operations support for Personal Self-Hosted servers; the operator is responsible for the availability of their own server. Support for the Contextify software itself, if any, is provided as described in our support materials or in any separate agreement you may have with us; this is distinct from operations support for an operator-run server.

Scheduled maintenance windows for Contextify Cloud (Hosted) are communicated via email. In the event of extended unplanned downtime on Contextify Cloud, we will provide status updates at contextify.sh.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

This disclaimer applies to the local macOS application, the Linux CLI, the Contextify Cloud (Hosted) service, and any Personal Self-Hosted deployment of the Contextify Cloud server software. For Personal Self-Hosted, we do not warrant the availability, security, configuration, backup, restoration, or operation of infrastructure you operate; the operator is responsible for those operational concerns.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTEXTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR ANY PERSONAL SELF-HOSTED DEPLOYMENT YOU OPERATE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS, YOUR USE OF THE SERVICE, OR YOUR OPERATION OF A PERSONAL SELF-HOSTED DEPLOYMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR LOCAL-ONLY USE OR FOR PERSONAL SELF-HOSTED USE WITHOUT A PAID CONTEXTIFY CLOUD PLAN, THIS AMOUNT MAY BE ZERO; IN THAT CASE, OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify and hold harmless Contextify from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

If you operate a Personal Self-Hosted deployment for users other than yourself, you are solely responsible for that relationship. You agree to indemnify Contextify from claims arising from your operation of that deployment, your users' use of it, your handling of their data, your terms or policies governing them, your failure to secure or maintain your infrastructure, or your violation of applicable law or third-party rights in connection with that deployment. Contextify is not a party to your relationship with your users.

14. Termination

  • By you: You may stop using the Service at any time. Cancel your Contextify Cloud subscription through your account settings.
  • By us: We may suspend or terminate your Contextify Cloud account if you violate these Terms, engage in abusive behavior, or fail to pay subscription fees after notice.
  • Effect of termination: Upon termination of a Contextify Cloud account, your access to Contextify Cloud features ends. Hosted Cloud data is retained for a reasonable period, then permanently deleted. See our Privacy Policy for details.
  • Local data and Personal Self-Hosted: Termination of Contextify Cloud features never affects your local data or any Personal Self-Hosted deployment you operate on your own server. The local application continues to function independently. Termination of a Contextify Cloud account does not, by itself, terminate your §8 software license; Contextify does not access or control data stored on infrastructure you operate.
  • Software license termination: If your §8 software license is terminated because you materially breach these Terms, you must stop using the Contextify software, including any Personal Self-Hosted deployment of the Contextify Cloud server software. License termination does not give Contextify access to, control over, or responsibility for data stored on infrastructure you operate; data on your operator-run server remains under your control to retain, export, or delete.

15. Changes to Terms

We may update these Terms from time to time. Notice and acceptance work differently across the deployment shapes:

  • Contextify Cloud (Hosted) users: We will notify you of material changes at least 30 days before they take effect, via the email address associated with your Contextify Cloud account. Changes are also posted on this page with an updated date. If you disagree with the updated Terms, you may cancel your Contextify Cloud subscription before the changes take effect; continued use of the Hosted service after the effective date constitutes acceptance of the new Terms.
  • Local-only and Personal Self-Hosted users: Material changes are posted on this page with an updated date and may also be communicated through release notes accompanying software updates. If you disagree with the updated Terms, you may stop using the software or decline to install future updates; continued use of the Contextify software after the effective date constitutes acceptance of the new Terms with respect to that continued use. Versions of the software you have already installed remain governed by the Terms in effect at the time of your most recent acceptance, except where mandatory law or a security/compliance correction requires otherwise.

16. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law provisions, except where applicable law requires otherwise (including mandatory consumer-protection laws of your jurisdiction). Any disputes arising from these Terms shall be resolved in the courts of the State of Oregon, except where applicable law requires that a dispute be heard in another forum.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Contextify regarding the Service. Personal Self-Hosted operators are governed by these Terms with respect to the Contextify software license and their operation of any Personal Self-Hosted deployment; their relationship with their own users (if any) is governed by the operator's own terms, not these Terms.
